Abstract | Ever since the introduction of the new model of managing an enterprise with the separation ofownership and management, which was dated back in the 20th century, people have becomemore and more aware of the termCorporate Governance and the important role it plays for theassurance of good business.Corporate Governance mainly deals with the two-tier hierarchy of a company, namelyBoard ofDirector who are normally selected or elected by the company’s shareholders and is therepresentatives of shareholders, the real owners of the companies, and theManagement Teamwho are appointed or hired by the Board of Directors and are in charge of the operation of thecompany.As the governors of the company, the Board of Directors plays an extinguished important role inproviding guidance and plans for the company’s effective performance and future strategicdevelopment. The effectiveness in all aspects of Board of Directors, including BoardComposition and Board Compensation, is one of the key factors leading to the success ofrunning a business. |
