AbstractThis project describes and analyses the problem and weakness of the present internal supervisory system of Vietnam Oil and Gas Group (PVN) and then to develop the internal control system and build capacity for supervisory staff of PVN. The approach of this research will be based on both quantitative and qualitative methods with questionnaires and interview among relevant controller or members of supervisory board and some managers to understand and analyse the real problems. This study will include and synthesize the information and data from different sources such as PVN’s and its subsidiaries’ internal reports, legal database, and public information. Vietnam Oil and Gas Group is one of the biggest Vietnamese companies and owned by the State. The internal supervisory system plays a very important role in corporate governance but is quite new to Vietnam and PVN. Therefore it is significant to know how the supervisory system operates in PVN to improve and build capacity controllers for better performance. The paper emphasizes on the factors affecting the risk management framework in which the controllers play an important role, the performance of controllers or supervision members of PVN and its subsidiaries, including the legal framework (tasks, functions, and responsibility), the environment in which the controllers undertake its duties, and their competencies. It is absolutely challenging to change a new concept, however, it suggests developing the internal supervisory system and having a qualified controllers for PVN and its subordinates
