Abstract | Recently, the concept of corporate governance became more significant yet controversial due to accounts of fraud, accounting scandals, inside trading, excessive compensation, and other failures of the governance, particularly in the North American and European countries as well as in the south Asian countries. Since incentive misalignment has been one of the factors that caused the 2007-2008 financial crises, my assessment of corporate governance issue focuses on the banking system. I seek to place these governance issues in a broad analytical framework and to consider their characteristics. My study will present conceptually underpinnings of the corporate governance principles suggested by the OECD, particularly the disclosure and transparency one of the key six principle defined by OECD and empirically relevant data. By looking at the listed commercial banks of Bangladesh, in order to find the level of compliance and to find out the scope to improve the Banking standards in Bangladesh, in the context of a globalized world and justify the conclusion. The conclusion outlines that the context is crucially important in banking because it will find out whether, good governance in terms of disclosure and transparency has any relation with the banks financial performance as well as with credit ratings. |
