Abstract | This study is to address risk factors of Ratchaburi Electricity Generating Co., Ltd. (RatchHold), a subsidia1y of Ratchaburi Electricity Generating Holding PCL. (Ratch), and how to mitigate or allocate risks to project's participants in order to increase viability of the project. Apart from that, Joan syndication, a popular financing method for power project in Thailand, is conducted in order to understand the rational of selecting this method and the step-up-step process to acquire syndicate loan. Ratchaburi Power Plants was initiated by EGAT, a sole power generation and transmission state-owned enterprise. According to privatization program, RatchHold and Ratch were set up in 2000 in order to acquire Ratchaburi Power Plants from EGA T. The main objective of RatchHold is to raise funds from domestic stock market by issuing share to strategic and public investors and to invest those funds in its subsidiaries. Contradict01y, the aim of Ratch is to acquire power plant from EGAT by debt and equity injection in proportion of 2 to 1. Without construction, Ratch can neglect construction risk and emphasize on operational risk being discussed in chapter 4. The important of risk mitigation and risk allocation tools such as Power Purchase Agreement, Gas Supply Agreement and Operation & Maintenance Agreement is also clearly explained. Finally, to be successful project financing, risk mitigation is insufficient. Another crucial factor is availability of sufficient fund. Thus, the author chose to understand loan syndication method which is useful for power project in Thailand. Furthermore, the lender's point of view to participate in power project is illustrated to be case study for applying to further Independent Power Producers (IPPs). |
