Abstract | The transfmmation in global telecommunication in the past decade has been impressive bringing fundamental changes in the structure and the regulation of telecom markets worldwide. From now, the next logical step after the liberalization of markets and the transition from a governmental monopoly to a private entity controlled by an independent regulator is the transition from a sector-specific regulation to general competition law. First in the United States and then followed few years later in Europe, this issue has been raised and is focused on the respective role of competition authorities and regulatory agencies in the review of telecom mergers. In Europe, the spectacular series of mega-deals in the telecom and media sector in 2000, interfering with the ongoing liberalization process of the telecom markets, have challenged the institutional balance recently designed between the European Commission's competition directorate, its telecommunication directorate, and the national telecom regulatory agencies. Telecom was until recently a regulated sector, with very steady market structure, and very few opportunities for mergers. The beginning of the liberalization and deregulation process after the 1980's has much changed this picture. From then on, mergers between telecom firms continuously increased in number, with a great acceleration these last seven years. I will analyze first the rationale of mergers in order to have better understanding of the whole merger process. Then, I will make a description and an analysis of the main characteristics of the telecom industry, justifying the wave of consolidation starting in 1998 as well as the regulatory landscape that governs the whole industry. Afterwards, I will analyze the consequences of the consolidation and the current situation of the operators today. Eventually, I will end by the case study of a major transaction in the telecom consolidation: the merger between France Telecom and Orange. |
