AbstractGood corporate Governance is the assurance that corporations are managed in the best interests of the owners and stakeholders. One of the most imperative elements to establish good Corporate Governance is transparency. The way that firms or management of firms communicate to their stakeholders is very important to maintain Corporate Governance and firms' transparency. Financial disclosures communicate valuable information not only to investors but also to other stakeholders of the firm, such as customers, suppliers, and employees. Thus, a firm making poor disclosure can suffer a competitive disadvantage compared to a firm making better disclosure. Particularly in the context of the Property Development business better disclosure can also signal that the firm is trustworthy. As a result quality of the financial disclosures is significant to ensure a firm's Corporate Governance and therefore its success. The major objective of this study is to develop an instrument or a disclosure index for measuring financial disclosures of the firms in Property Development sector in Thailand. The disclosure index not only intends to measure the degree of disclosure made by firms but also provides a comparison with the degree of the disclosure made by others firms in the same industry. For construction of the index, data was collected from the companies' 2001 annual reports and only audited sections were the center of attention. Then the disclosure index constructed was used as the basis to rank or make a comparison among the firms. This comparison can be used as an input to assess the corporate governance practices of the company. While the result of comparison might change overtime, it provides a useful input to the firms about the relative position and the disclosure index to guide their efforts for improvement.
