AbstractGood corporate governance builds confidence not only in the organization level but also in the country level. Disclosure and Transparency is one of the key elements of good corporate Governance. Good corporate disclosure is often regarded as one of the leading indicators of good corporate governance. Companies that disclose more tend to be more open, investor friendly, and well governed. In Thailand, both State and Private enterprises have long been criticized for poor corporate governance. Lack of Transparency and good corporate governance practice were identified in many prior studies as one of the reasons why Thailand fell into the trap of the Asian Financial crisis. This research study investigates the Financial and disclosure practice of Thai Financial and Securities Companies listed in the SET by constructing a "Disclosure Index". In this empirical study, disclosure ranks are considered as dependent variable while the performance characteristics of the sample companies i.e. Market capitalization, Tobin's Q, Return on Equity and Ownership diffusion are considered as independent variables. The study found a significant positive relationship between the Ownership diffusion and Disclosure rank of the ยท sample companies while it also found a relationship among the disclosure Ranks with other variables except Market capitalization.
