AbstractDeveloping power sources to meet the high load growth in Vietnam requires the significant investment capital. Project financing under BOT form is necessary to achieve requirements in terms of both electricity demand satisfaction and financial diversification. Foreign BOT investors operate the plants during concession period and transfer to Vietnam after the end of operation phase. The BOT type seems very favorable for both the foreign investors and the host country but there are a lot of troubles in implementation which imply the obstacles to this financing method. The research focuses on the negotiations of foreign BOT power projects in Vietnam, mostly from perspective of Electricity of Vietnam. Problems arising from the complex nature of BOT form as well as the different objectives of key parties would be found. Some solutions are analyzed and proposed to motivate the Power Purchase Agreement, thus to motivate all BOT negotiations
