AbstractThis study tries to analysis the situation of BOT project in power sector in Vietnam. From that, the study highlights some constraints regarding to BOT legal framework or local powerful players, which prevent developing of foreign invested BOT power project. This study also tries to analysis the case study: Phu My 3 BOT power project regarding the risks aspects. Additional, the study compares the risk allocation between Laibin B BOT power project and Phu My 3 power project to highlight the risks allocated into all the participants such as the host government, sponsor, contractor, lenders and insurers. The result illustrates that sponsor and contractor are responsible for construction and operation risk; the host government takes market and financial risk; finally, insurer takes all residual risks. Finally, some lessons learned for the risk allocation in BOT project illustrated in the conclusion part.
