AbstractSince Public Private Partnership (PPP) procurement becomes an important issue for helping the government in order to provide the infrastructure facilities, the contractual arrangement of PPP project should be carefully managed in the Concession Agreement. The objectives of this research are to identify the interests of PPP's major participants and compare the financial clause of the three toll road projects under BOT procurement (Second Stage Expressway, Don Muang Tollway, and Cipularang Toll Road). The 5 Concession Agreements have been investigated specifically on the credit enhancement and the toll rate setting and adjustment. As the results of this research, (i) Indonesia did not stipulated non-competitive clause; (ii) Thailand have problems with the contractual enforcement; (iii) The selection of SPV concept has been introduced by United Kingdom under Standardization of PFI Contracts volume 4 (SoPC4) 2007, (iv) Credit enhancement by government commitment and financial institution (insurer) can be used as the solution to overcome any possible risk in PPP project, (v) The flexibility of toll rate setting and adjustment will comfort the investor during the concession period due to the uncertainty of operation revenue.
