AbstractIn recent years, in Vietnam with "doi moi" or the policy of renewal, economic and social activities have been blooming, making profound and comprehensive changes in a country that is advancing on its way to industrialization and modernization and is integrating itself with the economies of the region and the world. In December 1987, the Vietnamese Government passed the Law on Foreign Investment to boost the economic development of the country. Since then an increasing amount of foreign investment has flowed into Vietnam. However, in the technology transfer process, there are many problems and difficulties that have occurred for both the transferors and transferees in the construction sector. In this research an attempt is made to identify and analyze not only the problems of the country condition such as the positive and negative aspects of egislat~on towards foreign investment and technology transfer, the problems of finance, the problems of the human resource but also the problems and difficulties faced in partner selection and negotiation, the problems of the managing of the project and the problems related to technology capability. The aim is to identify specific problems and issues in the Vietnam context, so that these can be addressed to create a favorable investment climate and successful technology transfer to Vietnam. The construction industry in Vietnam has a major role to play in developing the infrastructure to enhance economic and social activities, and ensure that foreign investment can be productively used. Thus, obtaining technology from abroad to modernize itself has be come an important task for the construction industry.
