AbstractAn increasing amount of foreign investment has flowed into Vietnam since the Law on Foreign Investment was approved by the National Assembly in December 1987. Joint venture is a common form of foreign investment and also new phenomenon in Vietnam. There are a lot of problems and conflicts which partners are facing in operating JVs in Vietnam today. This research attempts to identify and analyze the problems and conflicts, both in general management and at the functional area level, which are specific to joint ventures operating in the Vietnamese business environment. Data collected from in-depth interviews with managers in three joint ventures in the lubricating oil industry in HoChiMinh city, and published material on operation of joint ventures in Vietnam are the main sources of information for the research. According to the findings of this research, there are significant incompatibilities between Western and Vietnamese partners and respective managers in joint ventures with regard to planning, communicating, decision making, and problem solving. Problems and conflicts are also found in many issues related to skills and experience of Vietnamese employees, labor relations, compensation, training, market research, dealers, capital contribution, and land rent. Most of problems and conflicts are found to retard the operation of joint ventures. There are few issues which may lead to closing down joint ventures. The findings of this research also show that most of problems and conflicts stem from the inadequate regulations and the heritage of the past centrally planned economy of Vietnam including lack of training. Different cultures and political ideology do not cause as much problem as many people expected. The findings of this research suggest many important implications for partners in JVs and the government of Vietnam.
