AbstractStrategic alliances are common strategy, especially in case entering into new market. Joint venture has not only many benefits, but also pitfalls. Although it is cull'ently emerging as the best investment strncture in Vietnam, joint ventures frequently do not meet the expectations of their parents. This research aims to identify the most potential factors, which influence the success and failures of joint venture from its initial contact of setting up and in the negotiating process as well as operation. Attempts are made to propose guidelines for investors who want to f01m joint venture in Vietnam. The research suggests that investors should keep in mind that fo1ming joint venture is strategic decision that requires understanding about a specific pa1tner. Pa1tner selection requires investors to analyze carefully pa1tner1s resources to ensure these resources are complementary and compatible. Building up good working relationships to ensure a commitment of pa1tners is ve1y impo1tant. -
