AbstractJoint venturing with foreign partners can be very profitable and open a myriad of opportunities. Although it is currently emerging as the best investment structure for success in Vietnam, joint ventures frequently do not meet the expectations of their partners. Success can not be guaranteed, however, there are ways to improve its prospect. This research aims to identify the most potential factors, which influence the success of joint venture from its very beginning of setting up and in the negotiating process as well as current operation. Attempts are also made to propose guidelines for joint venture investors doing business in Vietnam. The guidelines suggest that to ensure joint venture's success, foreign investors should emphasize independent evaluation of the project, selection of an appropriate local partner; develop negotiation expertise, develop an understanding of Vietnamese culture and in day by day management encourage Vietnamese participation in decision making process. For Vietnamese partners, along with the improvement of the partner selection process and negotiation skills, acquire a comprehensive understanding of the Vietnamese legal framework is very necessary. In addition, the local partner should pay attention improve their language skills and learn by experience from their foreign partners.
