Abstractln order to consolidate and administer the existing economy, enlivening state-owned enterprise has become an urgent. task and at so the long- term mission of China's reform movement. The question what is the best way to achieve these goals has drawn general attention. The past ten years' reform have seen the rapid development of Chinese-Foreign joint venture and their sound economic effects and social benefits. Through analysis in detail, such conclusion has been come up with that. joint venture generally enjoys higher quality of management. which contributes to joint. venture for being more vigorous than state-owned enterprise. From the point. of view of comparative management, some conclusions can be drawn that a sound operating mechanism is the key to the success of joint venture. It's under this mechanism that joint venture, based on inheriting the fair traditions of management. with Chinese own characteristics and absorbing the advanced experiences of foreign enterprise management, has made a few steps forward. Doubtless, they have provided state-owned enterprises with something instructive and useful to learn in order to carry out their reform. With a certain depth, this study has, to some extent, answered the following questions, such as: Why are joint venture more vigorous than state-owned enterprise and What can state-owned enterprise learn from joint. venture, in term of organizational structure and leadership system, labor and personnel management, distribution system, production/operation management., R&D management and business operating environment. A proposed general management model of joint venture in China has been suggested and the feasibility study on applying this model to state- owned enterprise and taking it as the reform objective of state-owned enterprise has been carried out.
