AbstractVietnam’s industrial growth has increased demand for ready-built factories (RBFs), with Design and Build (D&B) contracts streamlining project delivery. However, effective contract management is essential to mitigate risks, ensure compliance, and prevent disputes. This study examines contract formation, administration, risk allocation, and dispute resolution in Vietnam’s RBF projects. It identifies key challenges such as regulatory compliance, payment disputes, design changes, and supply chain disruptions. Using literature review, case study analysis, and expert interviews, the research highlights best practices for risk mitigation and contract governance. Findings emphasize early risk identification, clear contract terms, proactive communication, and legal compliance as critical for project success. Recommendations include standardized contracts, technology-driven monitoring, and enhanced training to improve efficiency and reduce disputes in Vietnam’s industrial construction sector.
